1. Introduction

Atlas operates as a procurement facilitation and sourcing company, connecting verified global manufacturers with buyers across GCC and international markets. Atlas does not buy or sell goods directly; all commercial transactions occur strictly between the buyer and the supplier.

2. Scope of Services

Atlas acts as an independent sourcing facilitator providing:

Supplier identification and verification
Coordination of quotations and negotiations
Documentation and communication support
Commission invoicing and facilitation monitoring

Atlas does not take ownership of products and is not responsible for any commercial transaction between buyers and suppliers.

3. Use of Website

The Website is intended for businesses seeking sourcing and procurement services.

Users must not:

Engage in fraudulent, misleading, or unlawful activities
Misuse Atlas’s platform or attempt unauthorized access

Atlas reserves the right to modify content, suspend access, or terminate services in case of misuse.

4. Request for Quotation (RFQ) Submissions

By submitting an RFQ, you authorize Atlas to:

Source quotations on your behalf
Share relevant details with verified suppliers

RFQs must contain accurate information. Atlas is not responsible for incorrect details submitted by the buyer.

RFQs do not create any binding obligation until a formal agreement (Supplier Commission Agreement or Transaction Confirmation) is signed.

5. Pricing, Fees & Commissions

Atlas operates on a commission-based model.

Buyers pay suppliers directly
Suppliers pay Atlas a pre-agreed commission (usually 5% – 15%)
Atlas issues a Service Invoice after buyer payment confirmation

Delayed payments may incur additional fees as per agreement.

Atlas may also provide subscription-based sourcing services where applicable.

6. Limitation of Liability

Atlas is not responsible for:

Shipping delays or customs issues
Product defects or quality issues
Payment disputes between parties
Misuse of shared data by third parties

Atlas’s maximum liability is limited to the commission earned for that specific transaction.

7. Supplier & Buyer Conduct

Both parties must communicate transparently and in good faith.

By accessing Atlas’s services, you agree to the Non-Circumvention Clause, meaning:

Buyers and suppliers cannot bypass Atlas
This restriction applies for 24 months from the date of introduction

Violation may result in penalties and termination of cooperation.

8. Confidentiality & Intellectual Property

All documents, data, and materials shared by Atlas remain the property of Atlas Global Sourcing LLC.

Users must not:

Share confidential information
Use Atlas’s brand, logo, or materials without permission
Copy or reproduce proprietary content

Unauthorized use may lead to legal action.

9. Data Privacy

Atlas collects and processes personal and business information strictly for sourcing purposes.

We comply with UAE Data Protection Laws.

By using the Website or submitting an RFQ, you consent to your data being stored and used for supplier verification and communication.

10. Payment Terms

Buyers pay suppliers directly
Suppliers must pay Atlas within 5 business days of receiving buyer payment
Payments to Atlas must be made via bank transfer in SAR, AED, or USD

Atlas does not hold funds on behalf of any party.

11. Termination & Suspension

Atlas may suspend or terminate access for violation of these Terms.

Either party may end cooperation through written notice under existing contractual terms.

Termination does not affect commissions already earned.

12. Indemnity

Users agree to indemnify and hold harmless Atlas Global Sourcing LLC from any claims, damages, or losses arising from:

Misuse of the Website
Breach of confidentiality or IP terms
Disputes related to supplier–buyer transactions

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the United Arab Emirates.

Any dispute shall fall under the exclusive jurisdiction of Dubai courts.
